Terms of service

How the FirstQuarter sales and backend operations desk is delivered, what is included in a package, what the client is responsible for, and where the service stops.

Last updated: August 16, 2026

1. Scope of these terms

FirstQuarter provides sales and backend operations services: first responses and callbacks, inbound call handling, demo booking, CRM and pipeline notes, invoicing support and operational reporting, delivered by a trained human desk under FirstQuarter supervision.

These terms describe how the service is delivered, limited and paid for. Where a client signs an order confirmation or service agreement, the commercial terms written there apply to that engagement.

FirstQuarter is not a marketing agency. It does not provide advertising, media buying, social media management, content creation or brand strategy.

2. Definitions

  • FirstQuarter, we or us: the company operating the managed sales and backend operations desk described on this website.
  • Client: the company or founder that purchases a package.
  • Desk: the trained human team, workflows and internal systems FirstQuarter uses to deliver the service.
  • Agent: a person working on the desk under FirstQuarter supervision.
  • Lead: an inbound contact, form submission, call or referral that the client asks the desk to handle.
  • Lead-handling unit: the unit of work consumed when the desk handles a lead under the rules of the client's package.
  • Package: the service tier purchased by the client, including its included capacity and scope.
  • Dashboard: the FirstQuarter client interface showing the reporting copy of desk activity.
  • Internal tools: the CRM, telephony, calendar and other systems FirstQuarter operates to deliver the service.

3. FirstQuarter services

FirstQuarter provides a managed human desk that handles first response, inbound calls, qualification, meeting booking, CRM hygiene, follow-ups and operational reporting for early-stage companies. Work is performed by trained agents following approved workflows, supported by internal systems.

FirstQuarter is a service provider, not a staffing marketplace and not an AI-only automation product. The client does not hire or manage individual agents directly.

4. Packages, prepaid terms, capacity limits and suspension

Packages are prepaid for the agreed period. Each package includes a defined capacity of lead-handling units and a defined scope of desk activity. Call attempts, response windows and coverage hours follow the rules of the purchased package.

  • Unused capacity does not automatically carry over unless the order confirmation says so.
  • When capacity is close to being consumed, the desk raises a usage warning in the dashboard.
  • Once capacity is fully consumed, the desk may pause non-critical activity until the client approves additional capacity or the next period begins.
  • FirstQuarter may suspend delivery where continuing would breach these terms, applicable law, or a third-party tool's rules.

5. Client responsibilities

  • Provide accurate company, product and pricing information the desk needs to answer questions.
  • Nominate a decision-maker who can approve scripts, workflows and escalations.
  • Route leads and signals to the desk in the agreed way, including forms, forwarding or integrations.
  • Confirm that contacts sent to the desk were collected lawfully and may be contacted.
  • Respond to escalations and review requests within a reasonable time so delivery is not blocked.
  • Keep account credentials for the dashboard secure and limited to authorised staff.

6. Approved workflows, scripts and client-provided information

The desk works from a written configuration: service selection, contact channels, call and email scripts, qualification questions, escalation rules and booking preferences. Versions are stored, and material changes are reviewed before going live.

Agents follow the approved wording. They do not invent commercial commitments, discounts, legal statements or product claims that the client has not supplied.

7. Communication authorisation, phone and email use, do-not-call rules

By sending contacts to the desk, the client authorises FirstQuarter to contact those people on the client's behalf using the approved channels, identifying itself as the client's sales or support desk where appropriate.

  • The desk contacts people who requested contact, replied to the client, or otherwise have a lawful basis to be contacted.
  • The desk does not perform cold outbound calling to purchased or scraped lists.
  • Opt-out, unsubscribe and do-not-call requests are recorded and honoured, and the contact is excluded from further attempts.
  • Calls may be recorded or logged only where the client's configuration and applicable law allow it, with required notices given.
  • The client remains responsible for the lawfulness of the contact data it provides.

8. Service limitations and excluded services

Unless separately agreed in writing, the desk does not provide:

  • Cold calling or unsolicited outbound campaigns to lists the client has no relationship with.
  • Marketing agency work: advertising, media buying, social media management, content creation or brand strategy.
  • Legal, tax, accounting, medical, financial, investment or other regulated advice.
  • Engineering, product development or deep technical implementation work.
  • Debt collection, dispute handling or regulated financial activity.
  • Decisions that commit the client contractually or financially without explicit approval.

9. No guarantee of sales results

FirstQuarter commits to responsiveness, process discipline and reporting quality. It does not guarantee a number of qualified leads, meetings held, deals closed, revenue, conversion rate or any other commercial outcome. Results depend on the client's market, offer, pricing, product readiness and lead quality, which are outside FirstQuarter's control.

10. Third-party tools and integrations

Delivery relies on third-party business tools for telephony, CRM, calendar, email and storage. FirstQuarter selects and operates these internal tools; clients are not required to license or access them. Where a client asks the desk to work inside the client's own approved tools, the client is responsible for access, licensing and that tool's terms.

Product names shown on this website are trademarks of their respective owners. Their use does not imply partnership, endorsement or certification unless stated.

11. Client data and confidentiality

Each party keeps the other's non-public information confidential and uses it only to deliver or receive the service. The client remains the owner of its business data, contact records and customer information.

FirstQuarter processes contact and customer data on the client's instructions for the purpose of running the desk. Details of collection, use and retention are in the privacy notice.

12. Fees, payment, failed payment and service pause

  • Packages are invoiced in advance for the agreed period, in the currency stated on the invoice.
  • Delivery starts once payment is received and the desk configuration is approved.
  • Additional capacity, extended hours or out-of-scope work is quoted and approved before it starts.
  • If an invoice is not paid by its due date, FirstQuarter may pause delivery after notifying the client.
  • Paused periods do not extend the prepaid term unless agreed in writing.
  • Taxes and bank charges are the responsibility of the client unless the invoice states otherwise.

13. Cancellation and termination

  • Either party may end the engagement at the end of the current prepaid period with written notice.
  • Prepaid fees for capacity already delivered are not refundable.
  • Either party may terminate immediately for material breach that is not corrected within a reasonable cure period.
  • On termination the desk stops contacting the client's leads, and the client receives an export of its reporting data on request.
  • Dashboard access ends a reasonable period after termination.

14. Intellectual property

The client keeps ownership of its brand, product materials, contact data and any content it supplies. FirstQuarter keeps ownership of its own methodology, workflow templates, internal tooling, dashboard software and training material.

Each party grants the other only the limited licence needed to deliver or use the service during the engagement.

15. Disclaimers

The service is provided with reasonable skill and care but without warranties of uninterrupted availability, error-free operation or fitness for a particular commercial outcome. Third-party tool outages, carrier failures and client-side delays can affect delivery.

16. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, lost profits, lost revenue or lost business opportunity. FirstQuarter's total liability arising from the engagement is intended to be capped at the fees paid by the client for the period in which the claim arose. The final cap will be confirmed in the signed service agreement.

17. Governing law

These terms are governed by the laws of [Insert U.S. state of company formation / governing law], without regard to conflict-of-law rules. Disputes are heard in the state or federal courts located in that jurisdiction.
